Terms of service.
The agreement between Ramped and anyone booking a shoot, a cut, or any of the services listed on our site.
Last updated: September 24, 2026
These terms govern any work, project, or engagement between you ("the client") and Ramped ("we," "us," "our"). By submitting a brief, signing a quote, or engaging us for a project, you agree to these terms.
If anything here is unclear, ask before signing the quote. We are happy to clarify.
1. Services
Ramped provides cinematic automotive production services, including:
- Production — on-set cinematography, half-day, full-day, or multi-day shoots
- Direction — pre-production creative direction, beat sheets, shot lists, on-set direction
- Photography — editorial and detail stills
- Edit & Color — cutting, color grading, sound design, captions
- Creative Strategy — hooks, series arcs, posting cadence
- Social Cutdowns — vertical, square, and ultra-short aspect ratios for Reels, TikTok, and Shorts
The full scope of any project is defined in the signed quote, not by these terms alone.
2. Quotes and engagement
Every project starts with a quote. Quotes are valid for 30 days from the issue date. Once signed by both parties, the quote becomes the binding scope of work. Anything not listed in the signed quote is out of scope.
We may revise the quote if the brief changes materially between quote and shoot. We will flag any change in writing before incurring additional cost.
3. Payment terms
- A 50% deposit is due upon quote signing. The deposit secures the shoot date.
- The remaining 50% is due upon delivery of the master file.
- Invoices are due within 14 days of issue unless otherwise noted.
- Late payments accrue a 1.5% monthly fee after 30 days past due.
- Multi-day projects may be billed in milestone installments as outlined in the quote.
We accept ACH, wire, and major credit cards. Payment details are provided on each invoice.
4. Client responsibilities
To keep the project on schedule, the client agrees to:
- Provide a clear brief, reference materials, and approvals within the agreed windows
- Make one decision-maker available for sign-off at the agreed checkpoints (brief, first cut, final master)
- Secure any location releases, talent releases, or permits required for the shoot that are not covered in the quote
- Pay invoices on the agreed schedule
If feedback or approvals are delayed beyond 14 days after we request them, we reserve the right to pause the project and reschedule.
5. Deliverables and revisions
Every project includes:
- One master cut, delivered as a widescreen file (typically 16:9, 4K or 1080p)
- Two rounds of revisions on the master, timed to the contract
- Cutdowns in the aspect ratios and lengths specified in the quote (typically 9:16, 1:1, and 4:5 with 5s, 15s, and 30s hooks)
- Captions burned in, plus .srt sidecars
Revisions beyond the included two rounds are billed at our standard hourly edit rate, quoted in advance.
The master is considered locked when both parties sign off in writing or when the second revision round is delivered without further notes.
6. Cancellation and rescheduling
- More than 14 days before the shoot date: full refund of the deposit minus any non-recoverable costs we have already incurred.
- 14 days or fewer before the shoot date: deposit is non-refundable.
- Reschedules more than 14 days before the shoot date: no fee, subject to availability.
- Reschedules 14 days or fewer before the shoot date: a 25% reschedule fee applies.
If we have to cancel due to weather, safety, equipment failure, or circumstances outside our control, we will reschedule at no charge or refund the deposit in full at the client's option.
7. Intellectual property and usage rights
Upon final payment, the client receives:
- Full usage rights to the master and all cutdowns for the purposes outlined in the quote (typically the client's brand channels, paid media, and owned social)
- Perpetual usage rights for the deliverables as delivered
Ramped retains the right to:
- Use the deliverables in our portfolio, on our site, and across our own social channels for self-promotion, unless the client has requested otherwise in writing prior to delivery
- Retain underlying project files, raw footage, and project files for our archives
We do not transfer ownership of raw footage, project files, or outtakes unless specifically agreed in writing.
Footage featuring third-party intellectual property (music, trademarks, branded locations) is the client's responsibility to clear for use. We can advise on this but the ultimate clearance is on the client.
8. Confidentiality
Both parties agree to keep project briefs, quotes, and any unreleased work confidential until the client publicly announces or publishes the project.
9. Limitation of liability
Our total liability for any project is limited to the fees paid by the client for that project. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
We carry general liability and equipment insurance for shoots. Certificates of insurance are available on request.
10. Force majeure
Neither party is liable for failure to perform due to events beyond reasonable control, including natural disasters, civil unrest, pandemic restrictions, or loss of key personnel. In such cases, both parties will work in good faith to reschedule or refund as appropriate.
11. Governing law
These terms are governed by the laws of the State of California, USA. Any disputes will be resolved in the courts of Los Angeles County, California.
12. Changes to these terms
We may update these terms occasionally. The "last updated" date at the top will reflect any changes. Changes apply prospectively to new projects and do not retroactively alter signed quotes.
